1. Acceptance
By accessing the Edulexa platform you accept these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.
2. The service
Edulexa provides API-driven infrastructure for EdTech revenue, IP protection, and contractor compliance. The service is provided on a subscription basis with usage-based metering.
3. Acceptable use
No scraping, no resale, no use in violation of applicable law, no use for unsolicited bulk communications, no attempt to bypass usage metering.
4. Fees
Fees are listed at /pricing or in your Order Form. Usage above plan thresholds is billed monthly in arrears. All fees are non-refundable except where required by law.
5. SLA
We target 99.99% monthly uptime on Enterprise plans, with service credits per the SLA addendum. Starter and Growth plans target 99.95%.
6. IP
You retain ownership of all customer data. We retain ownership of the Edulexa platform, including all derivative works.
7. Termination
Either party may terminate for material breach with 30 days written notice and an opportunity to cure. On termination, customer data is exported and deleted within 90 days.
8. Governing law
Delaware law, with exclusive jurisdiction in the state and federal courts located in San Francisco County, California.
